Kalyani Investment Company, one of the promoter group entity of Bharat Forge, has settled a case with Sebi about the alleged violation of disclosure norms after paying Rs 1.12 crore towards the settlement fee. Kalyani Investment Company Ltd (KICL), a listed entity, is part of the over USD 2.5 billion Kalyani Group. The order came after the applicant (Kalyani Investment Company) proposed to settle the instant proceedings initiated against it, without "admitting or denying the facts and conclusions of law", under the Sebi's settlement regulations. "In view of the acceptance of the settlement terms and the receipt of the settlement amount, the adjudication proceedings initiated against the applicant (Kalyani Investment Company) vide show cause notice (SCN) dated March 19, 2024, is disposed of," Sebi's adjudicating officer Amit Kapoor said in the settlement order on Friday. No power of attorney was executed by late S N Kalyani in favour of her son Kalyani Group Chairman, Baba Kalyani, and he has nothing to do with any of the litigations that his mother had initiated during her lifetime, the group said on Monday. Refuting reports that alleged that Baba Kalyani coerced his mother and exercised undue influence, a group spokesperson said the claims made in an affidavit of late S N Kalyani as produced by Gaurishankar Kalyani, Baba Kalyani's brother "are fabricated, incorrect and denied". "Baba Kalyani will appropriately represent his case before the Pune District Court," the spokesperson said in a statement. Forging company Kalyani Forge on Friday said its Chief Financial Officer (CFO) Laxmi Narayan Patra has resigned. His resignation is effective from April 6, 2023. "CFO Laxmi Narayan Patra has tendered his resignation due to personal reasons," the company said in a regulatory filing. Kalyani Forge is an engineering company with an expertise in metal forming. It makes forged, machined and assembled products for customers in industries like automotive, construction, power generation, marine, railway, and industrial goods.
Baba Kalyani, promoter of Kalyani Group, has settled a case of alleged violation of SAST (Substantial Acquisition of Shares and Takeovers) norms in the matter of Bharat Forge Ltd (BFL) with markets regulator Sebi on a payment of Rs 3 lakh. Bharat Forge Ltd is a subsidiary of Kalyani Group. The settlement came after Babasaheb Neelkanth Kalyani proposed to settle the pending proceedings through a settlement order "without admitting or denying the findings". "The proceedings that may have been initiated for the alleged violations ... are settled qua the applicants," Sebi said in its settlement order passed on Thursday. The regulator further said that it will not initiate enforcement action against the applicants for the said violations.
