Sebi on Monday proposed that debenture trustees separate non-market watchdog-regulated activities into a new legal entity and define "cross-default" to clarify their roles in shared security interests. Additionally, the new provisions have been proposed to outline debenture trustees' (DT) rights and responsibilities, aligning with their fiduciary duties and obligations under Sebi's Listing Obligations and Disclosure Requirements (LODR) Regulations. These changes aim to support timely fulfillment of DT duties. The regulator has proposed changes to how the Recovery Expense Fund is used, which supports debenture recovery processes and suggested to standardize the format of Debenture Trust Deeds to streamline documentation. Gold loan financier Indel Money on Monday said it plans to raise up to Rs 150 crore through non-convertible debentures to fund business growth. The issue, which is open from October 21 to November 4, has an option of early closure in case of early over-subscription, Indel Money said in a statement. The funds raised through this issue will be used for the purpose of onward lending, financing, and for repayment/prepayment of principal and interest on borrowings of the company and general corporate purposes, it said. The company expects to penetrate new markets and expand its customer base in rural and semi-urban markets where a large portion of the population has limited access to credit, it said. Gold loan accounts for 91.82 per cent of the company's loan portfolio. The company has a network of 324 branches.

Markets regulator Sebi on Friday clarified that investors can continue using 3-in-1 accounts to apply online for public issues of debt securities, non-convertible redeemable preference shares, municipal debt securities, and securitised debt instruments. This is in addition to the existing modes of application, Sebi said in a circular. A three-in-one trading account combines a savings account, a demat account, and a trading account into a single integrated solution. In this case, the clients would have their funds in their bank account, earning interest on the cash balances. Hinduja Group firm IIHL, the successful resolution applicant for takeover of debt-ridden Reliance Capital (RCAP), on Monday filed offer documents to raise Rs 3,000 crore through non-convertible debentures (NCDs), according to sources. The proceeds will be used to part fund the acquisition of RCAP, while the other leg of the transaction to complete the process for Rs 4,300 crore is parallelly underway which will be subject to receipt of regulatory approvals and completion of formalities by the administrator, sources said. IndusInd International Holdings Ltd (IIHL) has filed the NCD offer document with the BSE. The NCD -- with a duration of 3.5 years -- is expected to open for subscription early next week, sources said. Tata Chemicals has raised Rs 1,700 crore through the issue of Non-convertible Bebentures (NCDs) to investors on a private placement basis. In a regulatory filing on Tuesday, Tata Chemicals said an internal Committee, constituted by its board, has approved the allotment of 1,70,000 NCDs, having a face value Rs 1 lakh each for cash, aggregating to Rs 1,700 crore, for a tenor of 3 years, to identified investors on private placement basis. The NCDs have a fixed rate coupon of 7.81 per cent and have been issued based on multiple yield allotment method. The NCDs will be listed on the Debt Segment of National Stock Exchange of India Limited (NSE), the filing said. Recently, Tata Chemicals reported a 72 per cent decline in its consolidated net profit to Rs 150 crore for the first quarter of this fiscal year on lower income and higher expenses. Tata Chemicals plans to raise Rs 1,700 crore through the issue of non-convertible debentures to investors on a private placement basis. In a regulatory filing, the company informed that an internal committee, constituted by the board of directors, has, at its meeting held on Friday, finalised the terms of the issue of NCDs (non-convertible debentures). The company proposes to issue 1,70,000 NCDs of face value Rs 1 lakh each, aggregating to Rs 1,700 crore, on a private placement basis to eligible investors. The NCDs are proposed to be listed on the debt segment of the NSE. The company proposes to make allotment on August 20, 2024, while the date of maturity is 3 years from the date of allotment.

State-owned power giant NTPC will seek shareholders approval to raise up to Rs 12,000 crore through issuance of Non-Convertible Debentures (NCDs/bonds) on a private placement basis in its annual general meeting on August 29. "The board of directors of the company in its meeting held on 29th June, 2024 has approved the proposal and recommends the passing of the proposed special resolution (for raising up to Rs 12,000 crore in next 12 months)," the AGM notice of NTPC stated. The notice further said that the company is under capacity expansion mode, and a major portion of its capital expenditure requirement has to be funded by debt. The approval of the shareholders is being sought to authorize the board of directors to make offer(s) or invitation(s) to subscribe to the secured/unsecured, redeemable, taxable/tax-free, cumulative/non-cumulative, non-convertible debentures (NCDs/bonds) up to Rs 12,000 crore in one or more tranches, it said.

Realty firm Godrej Properties has raised Rs 1,275.40 crore through the issue of non-convertible debentures (NCDs) on a private placement basis. In a regulatory filing on Friday, the company said the allotment committee of the board of directors of the company approved the allotment of 93,540 unsecured redeemable NCDs of the face value of Rs 1 lakh each, aggregating to Rs 935.40 crore. State-owned power giant NTPC on Tuesday said its board on June 29 will consider a proposal to raise up to Rs 12,000 crore through the issuance of bonds. The board of directors is scheduled to meet in New Delhi on Saturday, June 29, to consider issue of "secured/ unsecured, redeemable, taxable/tax-free, cumulative/noncumulative, non-convertible debentures up to Rs 12,000 crore", subject to approval of shareholders in the ensuing Annual General Meeting, a BSE filing said.
