CLB reserves order on Bajaj board meetings

During the proceedings, Rahul Bajaj's side proposed that no board meeting be convened for the next three months with the agenda of removing directors of group companies.

However, Shishir's side was opposed to the agenda as it feared that directors could be removed after three months.

Shishir said that after three months, Rahul's side may remove him from the chairmanship of Bajaj Sevashram.

 

"I (Shishir) would be removed after that. Where I would go? The matter would come in July for hearing. We are ready for the board meeting only for the agreed agenda," Shishir's counsel Rafeeq Dada said.

"We do not want a situation where there is a direct violation of the Bombay High Court direction (that there should be agreement on the agenda). That is an agreed order," he said, opposing Rahul's application seeking CLB's direction to convene a meeting.

Meanwhile, CLB Chairman S Balasubramanian asked the brothers to circulate an agenda between the two camps 15 days prior to the meeting. However, this suggestion was turned down by the counsel appearing for the brothers.

There was also a dispute on who should chair the board meetings. CLB inquired and found out that both Sekhar Bajaj and Shishir Bajaj do not attend the meetings. It was their family friend, D S Mehta, who had chaired the last three meetings.

As the differences were irreconcilable, CLB reserved its order on the application moved by the both sides for convening the board meeting.
