Binani Industries Ltd: The company has informed that the shareholders have approved the scheme of arrangement for hive off of the zinc division and for financial & capital restructuring of the company in the meeting of the shareholders held on 11.09.2002.
SHARE ALLOCATION
Ambuja Cement Eastern: In terms of regulation 13 of Sebi, (prohibition of insider trading) regulations 1992, the company has informed that A L Kapur, director, holds 120 shares (jointly with Ajay Kapur) and A C Singhvi holds 225 shares of the company. None of the other directors hold any shares in the company.
Compudyne Winfosystem: The company has informed that SS Dahiya has sold 514300 shares (includes 14300 shares of Sumitra Dahiya).
Gordon Woodroffe: In terms of regulation 7 (1) of Sebi, (substantial acquistion of shares & takeovers) regulations 1997, the company has informed that Firestorm Finance & Trading Pvt Ltd has acquired 4,62,175 (4.62 per cent) equity shares through interse transfer of the company. Their shareholding after acquistion of shares is 13,76,779 (13.76 per cent) equity shares of the company.
Magma Leasing Ltd: In terms of regulation of Sebi, (substantial acquistion of shares & takeover) regulations 1997, the company has informed that M/s Citicorp Finance (India) Ltd is acquiring up to 28,26,000 (19.90 per cent) equity shares of the company, which will be allotted to them on preferential basis at the meeting of the board of directors on 14.09.2002.
Pegasus Castalloy Ltd: In terms of regulation 13(3) of Sebi, (substantial acquistion & takeover) regulations 1997, the company has informed that Nastic Trading, acting in concert with Shailendrajit Rai, has proposed to acquire 900,000 (18 per cent) equity shares of Rs 10 through interse transfer on 19.09.02 of the company. His Shareholding after acquistion will be 16,35,000 (32.70 per cent) equity shares of the company.
PEOPLE ON THE MOVE
Upper Ganges Sugar & Industries: K K Birla, chairman of the company, has resigned from the chairmanship & directorship of the company with effect from August 16, 2002. He has been conferred the status of chairman emeritus by the board of directors with effect from September 10, 2002. Further Nandini Nopany, deputy chairperson, has been appointed as chairperson of the board of directors of the company.
Essar Steel Ltd: G Goswami has been appointed as a director on the board of the company as the nominee of ICICI Ltd with effect from August 02, 2002. Further Sanjivi Sundar, nominee of Unit Trust of India, has ceased to be a director on the board of the company with effect from August 09, 2002.

Andhra Cement: The company has informed that the registrar of companies, AP, Hyderabad, has granted extension for holding the AGM of the company up to 31.10.2002.
