Board of Fortis Malar Hospitals approves composite scheme of arrangement and amalgamation

At meeting held on 19 August 2016

Fortis Malar Hospitals announced that the Board of Directors at its meeting held on 19 August 2016 has approved the composite scheme of arrangement and amalgamation between the Company, Fortis Healthcare and SRL and its respectively shareholders and creditors.

Under the scheme, the hospital business of Fortis Malar Hospital (FMHL) shall be transferred to Fortis Healthcare (FHL) as a going concern on slump sale basis, in lieu of payment of lump sum consideration by FHL to the Company; the undertaking of FHL pertaining exclusively to the diagnostic business of FHL shall be transferred to the Company by way of a demerger in lieu of issuance of equity shares by the Company to the shareholders of FHL as per the approves share entitlement ratio; the amalgamation of SRL into the Company and dissolution of SRL without winding up and the consequent issue of equity shares by the Company to the shareholders of SRL and the cancellation of shares of SRL held by the Company (amalgamation).
