At board meeting held on 30 March 2015
CyberTech Systems & Software announced that Board of Directors by way of Circular Resolution which was passed by the Directors on 30 March 2015 appointed M.P. Bharucha (a Non- independent Director of the Company) as an Independent Director of the Company, as he meets the criteria of independence stated in Section 149(6) of the Companies Act, 2013 as also Listing Agreement as amended up to date. His appointment as Independent Director is subject to the approval of Shareholders in ensuing Annual General Meeting. M.P. Bharucha will hold the office of Independent Director till 30 September 2019.To broad base the Board, the Board of Directors of the Company at its meeting held on 30 March2015, also appointed Anant Vishnu Rajwade, as an Additional Director/Independent Director of the Company till 29 March 2020 as he has given the declaration that he meets the criteria of independence stated in Section 149(6) of the Companies Act, 2013 as also Listing Agreement as amended up to date. His appointment as Independent Director is also subject to the approval of the shareholders in the ensuing Annual General Meeting of the Company.
