Dishman Carbogen Amcis update on global restructuring of subsidiaries

Dishman Carbogen Amcis has decided to transfer of equity stake of Company's wholly owned step down subsidiary namely Dishman Netherlands BV (DNBV) to Company's another wholly owned subsidiary company namely CARBOGEN AMCIS Holding AG (CAHAG).

CAHAG is an overseas subsidiary of the company, which is currently holding investment in four subsidiaries namely - Carbogen Amcis AG, Switzerland; Carbogen Amcis SAS, France, Carbogen Amcis, UK and Carbogen Amcis Co., China. The company, directly or indirectly holds 100% shares in all these subsidiaries.

As part of the global restructuring, the company's wholly owned subsidiary Dishman Europe intends to transfer its shareholding in DNBV to CAHAG by way of share awap arrangement for a consideration of approximately Euro 91 million.

 

The company intends to first transfer the shares of DNBV from DEL to Dishman Carbogen Amcis (Singapore) (DCASPL) and then from DCASPL to CAHAG by way of a share swap. DNBV will be renamed to Carbogen Amcis Netherlands BV with effect from 01 April 2018.

This will help the company in realigning the operations globally and ensuring that all overseas manufacturing entities are consolidated under one overseas holding company.

It was also decided for restructuring of Dishman Japan's Share Capital. As part of the restructuring process, the company wholly owned subsidiary, Dishman Japan will issue new shares of CAHAG after this restructuring of DJL's share capital, DJL becomes step down subsidiary and company's holding will reduce to 49% and 51% will be held by CAHAG. Subsequently, the name of Dishman Japan, will be changed to Dishman Carbogen Amics (Japan).
