PCS Technology announced that the Hon'ble Bombay High Court has vide order dated 08 May 2015 sanctioned the Scheme of Amalgamation and Arrangement between PCS International, Mauritius and PCS Technology and their respective Shareholders under sections 391 To 394 read with section 100 to 103 of' the Companies Act, 1956 and Section 52 of the Companies Act, 2013 and other applicable provisions of the Companies Act, 1956 and the Companies Act, 2013 ("The Scheme")Since the Transferor Company is wholly owned subsidiary of the Company, no equity shares of the Company shall be issued pursuant to the Scheme.
