This refers to the article “From a cheerleader board to one that delivers” by Pratip Kar (June 13). I think being a “cheerleader” is a virtue so long as board members do not cheer for or support “potentially questionable activities of shareholders”. Instead, they should raise questions to facilitate better decision-making for the company’s benefit. Also they should check any sort of “creative accounting” so that we can nip scams in the bud. The author’s suggestion to improve the process of nomination for effective corporate governance is welcome. In my view, members of the board should have what Harvard professor Howard Gardner calls “disciplined, respectful and ethical” minds.
