Pursuant to Regulation 30 read with Schedule III of SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015 it is hereby informed that in terms of Order dated 29th November 2021 of Ministry of Housing and Urban Affairs (MoHUA) Government of India Dr. Sunita Chandra ceased to hold the position of Independent Director of the Company upon completion of term of appointment of three years on 28th November 2024.

In accordance with Regulations 30 and 33 of the SEBI Listing Regulations read with Schedule III the Board of Directors in their meeting held on Monday November 11 2024 inter-alia approved Un-Audited Financial Results for the half year and quarter ended on September 30 2024. Hemisphere Properties India Ltdhas informed BSE that the meeting of the Board of Directors of the Company is scheduled on 11/11/2024 inter alia to consider and approve In terms of Regulation 29 of SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015 it is hereby informed that meeting of Board of Directors of the Company is scheduled to be held on Monday November 11 2024 inter alia to consider and approve Unaudited financial results (standalone ) of the Company for the quarter ended on September 30 2024.Further pursuant to SEBI (Prohibition of Insider Trading) Regulations 2015 as amended the Trading Window for dealing in the securities of the Company is already closed from October 1 2024 till 48 hours from the date of Board Meeting in which the financial results for the quarter ended on September 30 2024 for which the intimation has already been given to Stock Exchange(s) and the trading window will re-open after 48 hours of declaration of financial results.

In continuation to our intimation dated 10.10.2024 with regard to disclosure requirement under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015 on appointment of M/s Aggarwal & Rampal Chartered Accountants as Statutory Auditors of Hemisphere Properties India Limited (HPIL) for the financial year 2024-25 by Comptroller and Auditor General of India (CAG) vide letter No./CA.V/ COY/ CENTRAL GOVERNMENT HPIL(1)/1352 dated 21st September 2024 (received on 09th October 2024).The brief profile of the statutory auditor is enclosed herewith.

In line with the disclosure requirement under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015 we wish to inform that the Comptroller and Auditor General of India (CAG) vide letter No./CA.V/ COY/ CENTRAL GOVERNMENT HPIL(1)/1352 dated 21st September 2024 (received on 09th October 2024) in exercise of powers conferred under section 139 of the Companies Act 2013 conveyed the appointment of M/s Aggarwal & Rampal Associates Chartered Accountants as Statutory Auditors of Hemisphere Properties India Limited (HPIL) for the financial year 2024-25.The abovementioned firm of Chartered Accountants shall also be the auditors of Financial Statements for the financial year 2024-25 under section 139 read with Section 129(4) of the Companies Act 2013.The Brief profiles of the Statutory Auditors will be shared in due course.
