In June 1999 the Company changed its name to BMW Industries Limited emerged as a prominent industrial group in Eastern India. The Company is primarily engaged in manufacturing of tubular poles and structures transmission line towers rebars and providing steel servicing centre and infrastructural services. Intimation of closure of Trading Window

Pursuant to Regulations 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015 we herewith enclose the copies of the notice to the shareholders regarding dispatch of Postal Ballot Notice and E-voting information published on Decemeber 26 2024 in Business Standard and Aajkaal.

This is to inform you that the Honble National Company Law Tribunal Kolkata Bench (NCLT) has pronounced its first motion order on 13th December 2024 for the Scheme of Merger by Amalgamation of BMW Iron & Steel Industries Limited and Nippon Cryo Private Limited wholly owned subsidiaries of the BMW Industries Limited (together referred as Transferor Companies) with BMW Industries Limited. (Transferee Company) under the provision of Sections 230 to 232 and other applicable provisions of the Companies Act 2013 read with the Rules framed thereunder.

Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015 this is to inform you that the Board of Directors of the Company at their meeting held on 18th December 2024 have resolved to pass Special Resolution for Appointment of Mr. Dilip Kumar Mandal Additional Director as an Non-Executive Independent Director of the Company for a term of 5 (five) consecutive years with effect from 10th December2024 to 9th December2029 each subject to approval of the Members through Postal Ballot. The Register of Members/List of Beneficial Owners as on Friday 20th December 2024 (End of Day) will be considered for the purpose of sending Notice of Postal Ballot and for providing remote e-voting facility to the members.

Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015 please find enclosed the Notice of Postal Ballot dated 18th December 2024 in terms of Section 108 and 110 of the Companies Act 2013 and the Rules made there under along with the Explanatory Statement for seeking approval of the members of the Company by means of electronic voting (remote e-voting) in compliance with the relevant circulars issued by the Ministry of Corporate Affairs in this regard.The same can also be accessible at the website of the Company i.e. www.bmwil.co.in .
